1. Agreement

These Terms of Use and End User License Agreement ("Agreement") are a legal agreement between you ("you", "Licensee") and Hyuri Pimentel ("we", "Licensor"), an individual developer based in Brazil, governing your use of Notes Convert ("the Software").

By installing or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

2. License Grant

Subject to this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, for personal and non-commercial use only, in the number permitted by your license key or by the app store through which you obtained the Software.

3. License Keys (Desktop)

A valid license key is required to unlock unlimited conversions in the desktop app. License keys are personal, non-transferable, and tied to the email address used at purchase. A license may be active on up to two devices at a time; you can deactivate a device in the app to free a seat. Activation, deactivation, and periodic revalidation require an internet connection and are performed against notesconvert.com. Keep your license credentials confidential. We may revoke or disable license keys that violate this Agreement.

4. App Store Purchases (Mobile)

If you obtain the Software through the Apple App Store or Google Play, the purchase is between you and the store, and is also subject to the store's terms. The store's localized price applies. You can restore a previous purchase with the "Restore Purchases" option in the app. A purchase may be active on up to two devices at a time; you can deactivate a device in the app to free a seat. The app verifies the purchase with Apple or Google through notesconvert.com and revalidates it periodically. Refunds and purchase management are handled by the store through your store account.

5. Restrictions

You may not:

  • copy, modify, distribute, sublicense, lease, rent, lend, sell, or create derivative works of the Software;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent permitted by applicable law;
  • remove or alter any proprietary notices;
  • bypass any license validation or protection mechanisms;
  • use the Software to provide services to third parties or for any commercial purpose;
  • use the Software in violation of any applicable law.

6. Updates

We may release updates, fixes, or new versions of the Software. Updates are covered by this Agreement unless they come with their own terms.

7. Privacy

We collect as little as possible. Your notes are converted locally on your device and never sent to us. The mobile apps contain no telemetry, analytics, or tracking. Purchases and licenses are validated online as described in our Privacy Policy, which forms part of this Agreement.

8. Consumer Rights

Nothing in this Agreement limits rights granted to you by the Brazilian Consumer Protection Code (Lei 8.078/1990) or other mandatory consumer protection laws. For purchases made on notesconvert.com, you have the right of withdrawal within 7 days of purchase (Art. 49 of the CDC).

9. Disclaimer of Warranties

The Software is provided "as is", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or free of defects. You are responsible for keeping backups of your notes.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, goodwill, or business opportunities, arising out of or related to this Agreement or the Software. Our total liability is limited to the amount you paid for the Software in the 12 months before the claim. Nothing in this section excludes liability that cannot be excluded by law.

11. Termination

This Agreement is effective until terminated. We may terminate it if you breach it. On termination, you must stop using the Software and delete all copies. Sections on Restrictions, Privacy, Disclaimer, Limitation of Liability, and Governing Law survive termination.

12. Governing Law

This Agreement is governed by the laws of Brazil. Consumer disputes may be brought before the courts of the consumer's domicile, as provided by Brazilian law.
